Terms and Conditions

These Terms and Conditions (“Terms”) govern the access and use of the Conqur AI platform or its Services. By purchasing a subscription, accessing the platform, or integrating Conqur with your systems, you (“Customer”) agree to these Terms.

For these terms, “Conqur AI” means Conqur.

These Terms govern the Customer's use of the Conqur AI Platform, APIs, deployment environments, tools, and any other Conqur AI offerings that reference these Terms, as well as all the related documentation, tools, implementation, configuration, enablement support, optimization, integration, customization, advisory services, and any other professional services provided by the Company.

Customer acknowledges and agrees that the Platform and Services may be provided, in whole or in part, by Conqur AI or any of their subsidiaries, Affiliates, or other entities under common control.

Conqur AI may perform scheduled and emergency maintenance to ensure the proper operation, security, and stability of the Platform and Services. Conqur AI will use commercially reasonable efforts to provide advance notice of scheduled maintenance where practicable; however, emergency maintenance may be performed at any time without prior notice to address security vulnerabilities, system stability issues, or other issues that may materially impact the Platform or Services.

We shall provide support through emails, ticketing systems, or other designated support channels during standard business hours.

All rights, title, and interest in and to the Platform, company materials, Reusable IP, Derived Data, documentation, workflows, and all enhancements, modifications, updates, and improvements thereto are and shall remain the exclusive property of Conqur AI under these Terms.

You shall retain the ownership of your Customer Data and your previously existing Intellectual Property Rights.

Customer will not provide Conqur with Personal Data or any sensitive information unless expressly identified. Customer remains responsible for obtaining all required rights and permissions for Conqur AI's use of Customer Data.

You and your authorized Users shall use the Services only in compliance with these Terms, applicable laws, and Conqur AI's Privacy Policy.

The Receiving Party may only use Confidential Information of the Disclosing Party to exercise its rights and perform its obligations under these Terms. The Receiving Party shall only share Disclosing Party's Confidential Information to Receiving Party's employees, agents, and advisors on a need-to-know basis.

The Receiving Party will protect the Confidential Information shared by the Disclosing Party from unauthorized use, access, or disclosure in the same manner as the Receiving Party may protect its own Confidential Information, and with no less than reasonable care.

Conqur AI may use your name, trademarks and logos to publicly identify you as a customer of our Services solely for general promotional and marketing purposes, including customer listings and high-level case studies.

You shall be responsible for all fees incurred under your account or resulting from your use of the Services, at the rates specified in the applicable terms. Our Fees do not include any taxes or duties that may be owed by you or your authorized Users for use of the Services, unless expressly specified.

You agree to reasonably cooperate with Conqur AI in verifying your usage of the Services against the subscription metrics specified.

By accessing or using the Platform, you acknowledge and agree that Conqur AI uses cookies and similar tracking technologies in accordance with its Privacy Policy. Cookies enable certain functionalities of the Platform, support authentication, improve user experience, and allow Conqur AI to analyze usage patterns.

These Terms shall remain in effect from the date you first access or use the Platform or Services and shall continue until terminated in accordance with this Section.

Either Party may terminate these Terms upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days after receiving written notice.

The Platform, Services and any outputs or results generated therefrom are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, the Company disclaims all warranties, whether express, implied, statutory, or otherwise.

To the maximum extent permitted by applicable law, in no event shall Conqur AI and its affiliates, officers, directors, employees, contractors, or licensors be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages.

You agree to indemnify, defend, and hold harmless Conqur AI, including its officers, employees, subcontractors, Affiliates, and agents from and against any and all claims, actions, suits, demands, allegations, or investigations brought by any third party.

Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Conqur AI without restriction.

Severability

If a provision of these Terms is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability will neither affect any other term or provision of these Terms.

Entire Agreement

These Terms constitute the entire agreement between the Parties and supersede all prior understandings relating to their subject matter.
