Terms of Service

Conqur helps ecommerce and growth teams analyze operations, generate recommendations, create or modify business assets, inspect connected systems, monitor issues, automate workflows, and prepare changes for human approval. Available capabilities depend on your plan, configuration, and connected systems.

We may update, improve, limit, suspend, or discontinue features as the product evolves. We will make commercially reasonable efforts to notify customers of material changes that affect paid access or core workflows.

Conqur may offer beta, pilot, preview, experimental, or early-access features. These features may change, be limited, suspended, or discontinued at any time and may have limited support, availability, or service-level commitments unless a separate written agreement states otherwise.

You should not rely on beta or pilot features for critical production workflows without your own review, testing, approvals, and backup processes.

You are responsible for the accuracy of account information, the security of credentials, the activity under your account, and the users or contractors you invite into your workspace.

You must use Conqur in compliance with applicable laws, platform rules, commerce policies, and the terms of third-party services connected to your store, including Shopify and any apps, payment tools, analytics tools, or fulfillment systems you choose to connect.

Conqur may perform scheduled or emergency maintenance to protect security, reliability, performance, or availability. We will use commercially reasonable efforts to provide advance notice of scheduled maintenance where practicable, but emergency maintenance may occur without prior notice.

Support may be provided through email, ticketing, account channels, documentation, or other designated methods. Unless a separate agreement states otherwise, we do not guarantee a specific response time or uninterrupted availability.

You retain ownership of your store data, business data, brand assets, prompts, inputs, approvals, and other materials you provide to Conqur. You grant Conqur a worldwide, non-exclusive license to host, process, transmit, analyze, and display that data as needed to provide, secure, support, and improve the service.

You are responsible for having the rights and permissions needed to provide data to Conqur and to authorize any store actions you request or approve through the service.

Conqur may produce AI-generated suggestions, code, copy, diagnostics, or other outputs. AI output can be incomplete, inaccurate, or unsuitable for a specific business context.

You are responsible for reviewing, testing, approving, and monitoring any output before and after it is used in production. Conqur is designed to support better store operations; it does not replace business, legal, tax, accessibility, compliance, or security review.

You may not misuse Conqur, interfere with the service, attempt to bypass usage limits, reverse engineer non-public parts of the platform, introduce malicious code, scrape the service, resell access without permission, or use Conqur to violate laws or third-party rights.

You may not use Conqur to generate, publish, or optimize deceptive, infringing, harmful, discriminatory, or unlawful content or commerce activity.

Paid access, usage credits, pilot terms, implementation fees, and any usage limits are governed by the order form, checkout flow, product terms, or written agreement that applies to your account.

Fees are non-refundable except where required by law or expressly stated in the applicable order. You are responsible for taxes, duties, and charges imposed by governmental authorities, other than taxes based on Conqur's income.

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and will use it only to perform under these Terms, exercise rights under these Terms, or comply with law.

Confidential information does not include information that is publicly available without breach, independently developed, rightfully received from another source, or approved for release by the disclosing party.

Conqur and its licensors retain all rights in the service, software, models, workflows, interfaces, documentation, templates, product designs, and underlying technology.

You retain ownership of your pre-existing materials and customer data. We may use aggregated or de-identified data to understand usage, improve reliability, measure performance, and develop better products.

Unless you notify Conqur in writing that you opt out, we may identify your organization as a customer and use your name and logo in customer lists, websites, presentations, and similar marketing materials. Case studies, press releases, and detailed public references require separate approval where required by the applicable agreement.

Our processing of personal data is described in the Privacy Policy. We use reasonable technical and organizational safeguards designed to protect customer data, but no internet service can be guaranteed to be completely secure or error-free.

You are responsible for configuring permissions, connected apps, approval workflows, and user access in a way that fits your store, organization, and compliance obligations.

Conqur may interoperate with third-party platforms, apps, APIs, hosting providers, analytics tools, payment processors, and AI infrastructure. Those services are governed by their own terms and privacy policies.

We are not responsible for third-party services, data practices, availability, policy changes, or actions taken outside Conqur's systems.

Conqur may use cookies and similar technologies to operate websites and services, support authentication, remember preferences, improve user experience, analyze usage, and secure the platform. Additional details may be provided in our Privacy Policy or cookie notices.

We may suspend or limit access if we reasonably believe your use creates a security risk, violates these Terms, harms the service, infringes third-party rights, or may expose Conqur, customers, or partners to legal or operational risk.

Either party may terminate access according to the applicable plan, order, or written agreement. After termination, we may delete or de-identify customer data in accordance with our retention practices, legal obligations, and backup cycles.

If Conqur permanently discontinues a material service, we will use commercially reasonable efforts to provide prior notice and a reasonable opportunity to export available customer data where technically and legally feasible.

Conqur is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation.

We do not guarantee that Conqur will meet every business requirement, prevent every store issue, increase revenue, produce legally compliant output, or identify every error before publication.

To the maximum extent permitted by law, Conqur will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, goodwill, or business interruption.

To the maximum extent permitted by law, Conqur's aggregate liability for claims relating to the service will not exceed the amounts paid to Conqur for the service giving rise to the claim during the 30 days before the event giving rise to liability.

You will defend, indemnify, and hold harmless Conqur and its affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from customer data, your use of the service, your connected systems, your breach of these Terms, your violation of law, or your infringement or misappropriation of third-party rights.

We may update these Terms as the service, law, and our business evolve. If changes are material, we will make reasonable efforts to notify customers through the product, website, or email. Continued use after an update means you accept the revised Terms.

You may not assign these Terms without Conqur's prior written consent. Conqur may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, financing, change of control, or by operation of law.

If any provision is found unenforceable, the remaining provisions will remain in effect. These Terms, together with any applicable order, plan, statement of work, data processing terms, or written agreement, form the entire agreement between the parties regarding the service.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts of competent jurisdiction in India will have exclusive jurisdiction over disputes arising from these Terms or the service, unless applicable law requires otherwise.
